Terms of Service

1. Acceptance of Terms

By accessing or using MindVest Atlas ("Atlas"), provided by FinManager AI LLC ("FinManager AI", "we", "us"), including the website and dashboard, the iPhone and Android apps, Atlas Studio, the Discord bot, and the API and MCP tools, you agree to these Terms of Service and to our Privacy Policy. If you do not agree, do not use the service.

2. Description of Service

Atlas provides market data, options analysis, strategy management, AI-assisted analysis, alerts, scheduled AI workflows, signal groups, and a marketplace where users share or sell their workflows and signal groups. The service includes:

• Stock and options data retrieval and charting
• Strategy creation, editing, and sharing
• Workflows: scheduled AI helpers that read the tools you select, reason over the data, and, when the conditions you set are met, register a trade against the broker account you selected
• Alerts and notifications by email, on your phone, and on Discord
• Signal groups: trade ideas ("plays") posted by users for others to follow
• A marketplace of workflows and signal groups offered by users, some for a monthly price
• AI-assisted analysis in chat, in the Discord bot, and through MCP tools
• Viewing your brokerage accounts through SnapTrade, and placing orders through SnapTrade only when you, a workflow you switched on, or a subscription you set to place automatically authorizes it

Atlas is a software tool. We are not a broker-dealer, an investment adviser, or an exchange. We never hold your money or your securities: your broker executes every order and keeps your assets.

3. NOT Financial Advice

• We are not a registered investment advisor, broker-dealer, or financial planner.
• Plays and listings are the personal views of the users who post them. They are general in nature and are not tailored to your circumstances.
• AI-generated analysis may contain errors, hallucinations, or outdated information.
• Past performance shown anywhere on Atlas does not guarantee future results.
• Trading stocks and options involves substantial risk, including the loss of everything you invest. Options are not suitable for every investor.
• You are solely responsible for your investment decisions and any resulting losses, including any trades placed by a workflow you activated or a subscription you set to place automatically.
• Always consult a qualified financial professional before making investment decisions.

4. Marketplace and Signals

• Track records. Performance figures shown on listings and public pages are produced from trade records on Atlas. They are not audited or independently verified, may include simulated results and the results of other members following the same listing, and are not a prediction of your own results. Past performance does not guarantee future results.
• Free sharing. A free public strategy or workflow can be imported as your own private copy. An imported workflow arrives paused, with no broker account selected, and does not run until you choose your own broker and switch it on.
• Paid subscriptions. A paid listing is a monthly subscription at the price shown when you subscribe. You follow the seller's setup as it runs; you do not receive a copy of it. The seller may change a listing, stop taking new subscribers, or remove it. You can cancel at any time, as described in section 8.
• Automatic placement. A paid signal group places each new play in your connected brokerage account automatically unless you switch your subscription to "Ask me first". By subscribing with automatic placement on, or by turning on automatic following for a free group, you authorize Atlas to send those orders to your broker for you. You can set a budget per trade, switch automatic placement off, or cancel, at any time.
• Changes by the author. When the author of a play or a workflow moves a stop or a target, or closes the trade, the same change may be applied to the position you took from it. You can turn off the author's ability to close your position in your settings, and you can always close your own position yourself.
• Timing and fills. An order placed for you may be filled at a different price, later, in part, or not at all, depending on your broker and the market. Your results will differ from the author's.
• Reporting. To report a listing, a group, a play, or a user, email accesspoint@finmanagerai.com. We may remove content or suspend accounts that break these Terms.

5. Selling on Atlas

• You must own what you list and have the right to offer it.
• Describe it honestly. Do not promise or imply profits, and do not post a play to move a price or to benefit a position you have not disclosed.
• You, not Atlas, are responsible for what you post, for your own taxes, and for deciding whether your activity requires a license or registration, for example as an investment adviser.
• Payouts are made through Stripe after a holding period, less the Atlas platform fee shown to you when you list. Stripe's terms for connected accounts apply to your payout account.
• We may delay, withhold, or reverse a payout in the case of a refund, a chargeback, suspected fraud, or a breach of these Terms.
• You can see your subscribers' names and email addresses so that you can serve them. You may not use that information for any other purpose.

6. Workflows and Authorized Trading

Workflows are AI-driven helpers that you configure and activate. By activating a workflow you authorize Atlas to run it on the schedule you specified, against the broker account you selected, and to register trade triggers (and the broker orders that fire from those triggers) within the rules you defined. The following always applies:

• A workflow only acts on the symbols and trigger fields you allow in its configuration.
• You can pause or delete any workflow at any time from the dashboard, which stops any further runs.
• Imported workflows are paused with no broker account selected; they cannot run until you point them at one of your own brokers and switch them to active.
• You are responsible for keeping your broker connection healthy. We are not liable for orders that fail to place, fail to cancel, or partially fill due to broker outages, market hours, or rejected orders.
• You are responsible for the trades a workflow you activated places on your account. Atlas shows every run in your dashboard, and can notify you on your phone or on Discord, so you can review activity.

7. User Accounts

• You must be at least 18 years old to use this service.
• You can sign in with email, Apple, Google, or Discord. You are responsible for the security of your sign-in and of your Personal Access Key.
• You may not share your account or subscription with others.
• We reserve the right to suspend or terminate accounts that violate these terms.

8. Subscriptions and Payments

• Atlas has a free plan with limited monthly requests and paid plans with higher limits. Current plans and prices are shown before you subscribe.
• Paid plans and marketplace subscriptions are billed monthly in US dollars through Stripe and renew automatically until you cancel.
• You can cancel at any time from the billing portal. Cancelling stops the next renewal, and you keep access until the end of the period you paid for.
• If a payment fails, paid features may stop until it is resolved.
• We will give you notice before a price change applies to you.
• Refunds are handled case by case, and as the law requires.

9. Affiliate Program

• If you join the affiliate program, you earn the commission shown in your affiliate dashboard on qualifying payments made by people you refer. Commissions are paid through Stripe.
• When you recommend Atlas, you must say clearly that you may earn a commission, and you must not make misleading claims about Atlas or about trading results.
• No commission is paid on your own purchases. We may withhold commissions obtained through fraud, spam, or misleading promotion, and we may change or end the program.

10. User-Generated Content

• You retain ownership of the strategies, workflows, plays, journal entries, and files you create.
• By setting a strategy or workflow to public, you grant other users a license to import and use a copy of it. Imported copies are independent: your later edits do not reach them unless you publish an update and the importer accepts it.
• By making content public or listing it, you allow us to display it, its track record, and your public name on Atlas and on public pages.
• Journal entries are always private and are never shared, even when strategies are imported.
• Run history (the AI's reasoning and any triggers fired) is private to the workflow's owner. Publishing a workflow does not expose it.
• You are responsible for ensuring your shared content does not violate laws or the rights of others.
• We may remove content that violates these terms or applicable laws.

11. Brokerage Integration

• Brokerage connections are made through SnapTrade. We do not receive or store your brokerage username or password.
• Connecting an account lets Atlas read its holdings, balances, and transactions. Orders can be placed only on accounts where you have allowed trading.
• Your broker executes your orders and holds your assets. Your agreement with your broker governs your account with them.
• FinManager AI assumes no liability for brokerage account activity, broker rejections, partial fills, slippage, or unauthorized access at the broker.

12. Apps, Notifications, and AI

• Notifications on your phone, on Discord, or by email are a convenience. They can be delayed or missed, so do not rely on them as your only way of watching a position.
• AI output can be wrong or out of date. Check it before you act on it.
• Atlas Studio runs on your own computer and can act on it with the permissions you give it. You are responsible for what you allow it to do.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• FinManager AI is provided "as is" without warranties of any kind.
• We are not liable for any direct, indirect, incidental, special, or consequential damages arising from your use of the service.
• We are not liable for any trading losses, missed opportunities, or financial damages, including those resulting from a workflow you activated, a play you took, or a subscription that placed orders for you.
• We are not liable for data inaccuracies, service interruptions, delayed or missed notifications, or AI errors.
• Our total liability shall not exceed the amount you paid for the service in the 12 months preceding the claim.

14. Prohibited Uses

• Attempting to reverse-engineer, exploit, or abuse the service or API.
• Using the service for illegal activities, including market manipulation.
• Posting plays, listings, or performance claims that are misleading or fraudulent, or that target accounts you do not own.
• Impersonating another person, or using what you learn about subscribers or referred users for anything other than serving them.
• Exceeding rate limits or circumventing subscription restrictions.
• Automated scraping or bulk data extraction beyond normal API usage.

15. Suspension and Closing Your Account

• We may suspend or end your access if you break these Terms, if we suspect fraud or a security risk, or where the law requires it.
• You can stop using Atlas and delete your account at any time from your profile, once any open trades are closed or cancelled. Deleting your account is permanent.
• Closing your account does not close positions or cancel orders already at your broker. Manage those with your broker.

16. Changes to Terms

We may modify these terms at any time. We will tell you about material changes through the service. Continued use after a change constitutes acceptance.

17. Governing Law

These terms are governed by the laws of the United States. Any disputes shall be resolved through binding arbitration.
